starting a business, maybe as 501c

I was looking for suggestions, ideas, what ever, on starting a devlopment company not as a private business but as a 501c3, non profit. I am looking at medical products development. I have some reasons for either way, looking for any other opinions.

You are going into a field that should expand in the future! Tha "baby boomers" are getting older, and requiring more medical attention. I know-i am one of them. This will open the market for new innovative ideas and products. I have always been interested in this area of developement, if there is anything I can do, I will help with ideas or services. James

Hi,

I'm the one asking, A bit about me I'm kind of stuck, out of the country-Iraq complements of USA. I've been working this for a while but being cooped up and seeing the need I've decided to persue it. The basic premise that I want to work from is give 1 medical provider-a medic specifically the ability to care for 10 advanced life support patients for 1 hour. That all the tools, communications, and logistical support. The project is expandable to provide medical care to underdeveloped, overwhelmed, or field situations.

What I see doing is working with companies that have the technology to work together and develope new products that may not be their norm. A communications company and a pulse oximiter manufacturer, a university and a computer software company. We, after they product is developed can 1) let the companies work with us to produce and market, 2) one or the other takes over manufacture-with all agreement (legal aspect to be determined prior) or 3) sell right to a third party.

Advantages-getting venture capital may be tricky and they'd want a return- I get donations-grants-in kind assistance. I pose little threat to companies as a non-profit. I get certain advantages from the gov't- acquire excess property, and other resources. I get assistance from agencies that can do studies that I could not afford to pay for.

The down side-its a non-profit. But so are schools.

So thats my thinking, I'm looking for why I should do one or the other, A SCORE rep suggest as a business, I have too many questions.

I have a project already started. I've had contacts at NIH, CDC, WHO, and the Army look at it and like the ideas. I'm reday to produce a prototype and do a study to validate its performance. Hence I need a big favor from someone to do the study.

Open to any suggestions

would sterilising equipment like auto clave etc interest you. if so we could cooperate both technically and otherwise. our set up follows similar philosophy as yours.

I'm not sure right now what I need-except a little sanity. I'm looking for all kind of ideas. Mainly looking for existing technology that can be modified for specific non-mainstream uses. Particularly new product specific to field environments. I would like to stay in touch, hopefully I can manage to keep the internet useable til I get back home. But have a lot to do in the mean time,

Check with a good accountant, and, then get an IRS letter of opinion before you act or go to jail.

Seems your logic is that being a non-profit allows you access to studies you could not otherwise afford. If your organization "takes off", however, there may be problems with switching from a non-proft to for-proft form if your projects have been fruitful. I don't think you start profit-taking when things go well in a not for profit.

Seems to me that the relationships are not the problem - you seem to be in contact with the right people already. Seems the problem is funding your project. Why not let your partners fund the project, and run the organization as a Joint venture partnership. If it loses, s/b no problem with income tax (in most places) but if it gains, you can proceed with a for-profit agenda.
