Template of Industrial Maintenance Contract

My little brother is offering a industrial maintenance contract on lab equipment. The idea is to visit 3 sites a month (in different cities), inspect and calibrate the equipment, maybe repairing if anything fails. The monthly fee will be fixed, as this customer is particularly difficult and will be hard to cash any variable expenses.

Have you got any templates on this kind of contract?

While I do not have a template specific to your trade, I can offer some information from my own practical experience that may help you develop one.

First and foremost, keep in mind that once both parties sign a contract it is binding. If a dispute arises after the fact, it can become costly to resolve especially if lawyers become involved. Take your time and be DETAILED!

Your template should contain at minimum, the following;

1. Full legal name of your company

2. Full legal name of the client

3. Spell out exactly what service you will provide

4. Spell out exactly what action you will provide in the event of a negative test/calibration report

5. I assume you will furnish the client with some type of a report at the end of your survey, again, spell out exactly what you will provide as far as equipment name, model number, serial number, test used, test result, and action required.

6. Spell out exactly what you are NOT including such as

a. "Equipment that is not functional at time of survey will be excluded" from your report.

b. "Equipment without required safety guards in place will be excluded" from your report.

7. Terms of payment - Will you bill the client? Will you expect payment at time of survey?

The list above are a few EXAMPLES of what your agreement should contain. You want to include (as practical as possible) any unforeseen issues that can arise that will cost you money which you did not plan on expending and in which you have no recourse to collect from the client.

Remember - DETAIL - DETAIL - DETAIL

Word your agreement very carefully and have a lawyer review it prior to use.

KJK/USA has some valid points.

Unfortunately, lawyers can always find ways to profit, no matter who gets the shaft, so use them wisely and ALWAYS ALWAYS have a contract with them specifying what services are expected.

well, if he signs a flat rate contract, the equipment must first be brought up to proper operational condition. The client pays for this. Then he can go in every month to check, oil, lube, calibrate etc for a flat rate. He needs to note serial numbers, in case the guy has 4 identical items and your friend thinks he has one. If he is difficult, then he will try to get work for less. You can call this bargaining or fraud.

But he must see that a machine that makes $1000/day must have a high uptime. If he skimps maintenance it can cost more in lost production or quality.

So he must try to see in advance all possible situations that the guy says is covered by the flat rate, but should be operator abuse or breakage.

All have valid points,

First, a basic maintenance contract to survey and upkeep.

And on type of that, any repair work, you brother may be familiar with it typical repair work, but offer it on a multi tiered level, and group them in price/difficulty tiers.

Its difficult with tough customer, but you have to look at it, what is the price to the customer if instruments are out of calibration or in need of repair.

As far as a written contract template, I do not know enough to facilitate that.

Finally he sent a contract with a monthly flat fee to inspect and calibrate 3 of this equipments (each in a different site) and an extra fee for emergency assistance, so they don't over-call him.
